Terms of Service

These Terms of Service ("Terms") govern access to and use of SetuCRM (the "Service"), provided by Unicrop Biochem Pvt. Ltd. (CIN: U24299GJ2022PTC129307), Ahmedabad, Gujarat, India ("SetuCRM", "we", "us", or "our"). By creating an account or otherwise using the Service, you agree to these Terms.

1. The Service

SetuCRM is a customer relationship management platform that helps businesses manage contacts, leads, and sales pipelines, and communicate with customers over WhatsApp, SMS, and email, including optional sync from Google Sheets.

2. Accounts

  • You must provide accurate information when your account is created and keep your credentials secure.
  • Each organization ("tenant") is responsible for the users it invites and the actions taken under its account.
  • You are responsible for all activity that occurs under your account.

3. Your Data

You retain ownership of the contacts, leads, and other data you upload to SetuCRM ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide the Service to you. See our Privacy Policy for how we handle data, including data accessed through Google APIs.

4. Acceptable Use

By using the Service, you agree not to:

  • Use SetuCRM to send unsolicited, deceptive, or unlawful messages, including in violation of WhatsApp's Business Messaging Policy, applicable anti-spam laws, or do-not-contact regulations.
  • Upload contact lists you do not have a lawful basis to message.
  • Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service or other tenants' data.
  • Use the Service to store or transmit unlawful, infringing, or harmful content.

We may suspend or terminate accounts that violate this section, including to comply with requirements imposed by our messaging providers (e.g. Meta/WhatsApp, MSG91).

5. Third-Party Integrations

The Service integrates with third-party providers (including Google, for Drive/Sheets sync, and messaging providers for WhatsApp/SMS delivery). Your use of those integrations is also subject to the applicable third party's own terms. We are not responsible for the availability or behavior of third-party services.

6. Fees

Access to the Service may be subject to fees as agreed between you and SetuCRM separately (e.g. in an order form or subscription agreement). [Add pricing/billing terms if applicable.]

7. Termination

You may stop using the Service at any time. We may suspend or terminate access if these Terms are violated, or if required by law or by a third-party provider we depend on. Upon termination, we will retain or delete Customer Data as described in our Privacy Policy.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, to the maximum extent permitted by law.

9. Limitation of Liability

To the maximum extent permitted by law, SetuCRM shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Service.

10. Governing Law

These Terms are governed by the laws of India, and the courts of Ahmedabad, Gujarat shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
